Project Initiation

All projects begin with a consultation to understand your requirements. Upon agreement, we provide a detailed proposal outlining scope, timeline, and costs.

Change Requests

Changes to project scope may impact timeline and costs. We will provide written estimates for any requested changes before proceeding.

Payment Terms

Payment terms are as outlined in the project proposal. Typically, projects require a 50% deposit to begin, with remaining payments due upon milestone completion or project delivery.

Clients are responsible for:

• Providing timely access to necessary resources and information
• Making decisions within agreed timeframes to avoid delays
• Maintaining confidentiality of proprietary information
• Ensuring compliance with applicable laws and regulations
• Providing adequate hosting and infrastructure when required

Client-Owned Code

Upon full payment, all custom code developed specifically for your project becomes your intellectual property.

Pre-existing Code and Frameworks

Pre-existing code, frameworks, tools, and methodologies remain our intellectual property, but you receive a perpetual license to use them in connection with your project deliverables.

Third-party Components

Third-party libraries and components are subject to their respective licenses. We will identify any open-source components used in your project.

We maintain strict confidentiality regarding all client information, including but not limited to business processes, trade secrets, proprietary information, and project details. This confidentiality obligation survives termination of our professional relationship.

Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in our work for 30 days following project delivery.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

OUR LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SERVICE THAT GAVE RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Either party may terminate the project at any time with written notice. Upon termination, you will be responsible for payment of all work performed up to the termination date. We will deliver all work completed to date.

Any disputes arising from these Terms or our services will be resolved through binding arbitration in Petaluma, California, in accordance with the rules of the American Arbitration Association.

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Last updated" date.
